Terms of Service

Last updated: September 19, 2026

Three answers only: agree, disagree, or unknown. Deterministic rules. Same inputs, same answer.

1. Agreement to Terms

These Terms of Service (the "Terms") form a binding agreement between you ("Customer" or "you") and ValveRide, LLC, a Delaware limited liability company with offices in Tarzana, California ("ValveRide," "we," "us," or "our"), governing your access to and use of ValveRide Custody and any related services, websites, and software we provide (the "Service"). By using the Service, clicking to accept, or signing an order that references these Terms, you accept them. If you use the Service for an organization, you represent that you have authority to bind it, and "Customer" means that organization.

2. Definitions

  • "Customer Data" means data that Customer or its Users submit or transmit to the Service, including loads, tenders, reference numbers, facility events, and shipping documents.
  • "Carrier Records" means records a carrier has approved Custody to access for specified loads.
  • "Evidence Pack" means the signed and timestamped custody record the Service assembles for a covered load.
  • "Order" means an order form or other ordering document that references these Terms.
  • "User" means any individual Customer authorizes to access the Service.
  • "Fees" means the amounts payable by Customer as stated in the Order.

3. Description of the Service

ValveRide Custody is a cloud-based platform that assembles chain of custody records for freight from the systems of shippers, carriers, and approved integration partners. Shippers pay for the Service under an Order. Carriers participate at no charge. Custody does not contact drivers, does not provide real-time tracking, and does not supply labels or hardware.

4. Accounts and Access

Customer is responsible for the confidentiality of its credentials and API keys and for all activity under its accounts, and must notify ValveRide promptly of any suspected unauthorized access. Any violation of these Terms by a User is a violation by Customer.

5. Acceptable Use

Customer will not, and will not permit any User or third party to:

  • use the Service in violation of any law, regulation, or third-party right;
  • attempt unauthorized access or circumvent any security, rate-limiting, or access-control mechanism;
  • submit records it knows to be false, or attempt to alter, forge, or misrepresent an Evidence Pack;
  • reverse engineer the Service except where law expressly prohibits this restriction;
  • transmit malicious code or interfere with the integrity or performance of the Service;
  • resell or transfer access without ValveRide's written consent;
  • use the Service to build or benchmark a competing product;
  • upload information it is not authorized to share, or personal information without a lawful basis; or
  • scrape the Service or its outputs except as expressly permitted.

ValveRide may suspend access immediately if it reasonably determines that use of the Service poses a security risk, threatens the integrity of the Service or of any custody record, or materially violates this Section.

6. Customer Data and Privacy

Customer retains all rights in Customer Data. Customer grants ValveRide a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and display Customer Data solely as necessary to provide, secure, support, and improve the Service, to comply with law, and to enforce these Terms. The Privacy Policy is incorporated by reference. Customer represents that it has all rights and consents needed to provide Customer Data. A data processing addendum is available on request to info@valveride.com.

7. Carrier Records and Approvals

Custody accesses Carrier Records only with the carrier's approval and only for the loads that approval covers. A carrier may withdraw approval for future loads at any time. Withdrawal does not remove records already included in a signed Evidence Pack. Custody does not access carrier rates, pricing, or discounts. Each party represents that it has any consent required from its own personnel to share the records it provides.

8. Evidence Packs: A Record, Not a Guarantee

An Evidence Pack is a record of events as reported by the connected systems. The Service does not prevent loss, theft, damage, or fraud, and ValveRide does not guarantee that any shipment will be delivered, intact, or on time. ValveRide does not verify the truth of the underlying source data and is not responsible for the accuracy, completeness, or timeliness of data supplied by any shipper, carrier, government source, or integration partner. ValveRide does not warrant that an Evidence Pack will be admitted as evidence or accepted by any court, insurer, or claims process. ValveRide is not a carrier, broker, freight forwarder, bailee, or insurer, and never takes possession of freight. Decisions to tender, release, accept, or pay for freight remain Customer's own.

9. Carrier Authority Information

Carrier authority and insurance status shown in the Service come from public government sources and are recorded as of the time stated. They are not a rating, a vetting result, or a recommendation of any carrier, and Customer remains responsible for selecting and qualifying its carriers.

10. Custody Premier

Custody Premier status reflects that a carrier's systems are connected and its custody records are current. It is not a rating, certification, or endorsement of any carrier. The Premier seal and status are licensed, not sold, may be shown only in the form ValveRide serves, may not be altered or used to imply endorsement, and may be revoked by ValveRide at any time. Status lapses automatically when records are not current.

11. Integrations and Third-Party Systems

The Service connects to third-party systems, including TMS, ELD, telematics, facility, and partner device systems. ValveRide is not responsible for the acts, omissions, availability, or data of third-party providers.

12. Fees and Payment

Fees, billing period, renewal, and payment terms are stated in the Order. Fees are exclusive of taxes. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and ValveRide may suspend access for accounts more than 10 days past due. Carriers are not charged for participating.

13. Term, Suspension, and Termination

These Terms apply for the term stated in the Order and any renewal. Either party may terminate for material breach not cured within 30 days of written notice. For 30 days after termination Customer may request an export of its Evidence Packs and Customer Data. After that, ValveRide may delete Customer Data except where retention is required by law, is needed to defend claims, or is described in the Privacy Policy.

14. Intellectual Property

The Service, including its software, matching methods, interfaces, documentation, and branding, is and remains the property of ValveRide and its licensors. ValveRide grants Customer a non-exclusive, non-transferable, revocable license to use the Service during the term for its internal business purposes. Customer may use and share its Evidence Packs for its own claims, audit, insurance, and legal purposes.

15. Feedback

Customer grants ValveRide a perpetual, irrevocable, worldwide, royalty-free license to use any suggestions or feedback about the Service without restriction.

16. Early Access and Pre-Release Features

Custody is offered in early access, and features may be designated beta, preview, early access, or design partner. These are provided as-is, without warranties, service levels, or support obligations, and may change or end at any time. ValveRide's aggregate liability for any such feature is capped at one hundred U.S. dollars (US$100).

17. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE, EVIDENCE PACKS, AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALVERIDE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. VALVERIDE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THE ACCURACY OF ANY THIRD-PARTY DATA OR INTEGRATION.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALVERIDE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR CARGO, OR FOR THE VALUE OF ANY FREIGHT. VALVERIDE'S TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID OR PAYABLE BY CUSTOMER IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

19. Indemnification by Customer

Customer will defend, indemnify, and hold harmless ValveRide and its officers, employees, affiliates, and suppliers from any claim arising out of: (a) Customer Data; (b) Customer's or any User's breach of these Terms or violation of law; (c) any dispute between Customer and a carrier, receiver, insurer, or other third party, including any cargo claim; or (d) decisions made by Customer based on the Service's outputs.

20. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only as needed under these Terms. Confidential information includes Customer's shipping activity and Evidence Packs, ValveRide's non-public pricing, features, and roadmap, and any security or audit information.

21. Publicity

ValveRide will not identify Customer as a customer, or use Customer's name or logo, without Customer's prior written consent.

22. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, and each waives any right to a jury trial to the maximum extent permitted by law.

23. General

These Terms, the Privacy Policy, and any Order are the entire agreement regarding the Service. If they conflict, a signed agreement controls, then the Order, then these Terms. The parties are independent contractors. Customer may not assign these Terms without ValveRide's written consent. If a provision is unenforceable it will be modified to the minimum extent necessary and the rest will remain in effect. Neither party is liable for delay caused by events beyond its reasonable control, other than payment obligations.

24. Changes to Terms

ValveRide may update these Terms. Material changes will be communicated to active Customers by email at least fourteen (14) days before they take effect. Continued use after the effective date constitutes acceptance.
